Distance Sales Contract
This text is a draft, currently under legal review, and describes a self-serve online payment flow that is not live yet. It will be confirmed by a lawyer and completed with final pricing/delivery details before online payment launches.
Parties
This Distance Sales Contract is entered into between [ADENCON MÜHENDİSLİK — LEGAL NAME/COMPANY REGISTRY NO/TAX ID/ADDRESS TO BE ADDED] ("Seller") and the individual or legal entity placing an order through the platform ("Buyer") at the time of each order, in accordance with the Turkish Distance Contracts Regulation.
Subject of the Contract
This contract covers the sale of paid subscription plans (e.g. the Professional plan) for the SmartFurnace platform, purchased remotely through the website without simultaneous physical presence of both parties, and sets out the rights and obligations of the parties under Law No. 6502 on the Protection of Consumers and the Distance Contracts Regulation.
Price and Payment
[TO BE ADDED WHEN ONLINE PAYMENT LAUNCHES: the price, currency, taxes included, and accepted payment methods for each plan, shown to the Buyer before order confirmation.] Prices are as displayed on the Pricing page at the time of order. For Buyers based in the European Union, VAT is calculated and applied according to the Buyer's country in line with EU distance-selling VAT rules (e.g. via the One-Stop-Shop scheme for consumer sales).
Delivery / Performance
As the subject of this contract is a digital service (software subscription), there is no physical delivery. Access to the paid plan is granted to the Buyer's account immediately upon confirmed payment, unless otherwise stated at checkout.
Right of Withdrawal
For physical goods, the Buyer generally has 14 days from delivery to withdraw without giving a reason. However, for digital content/services delivered immediately with the Buyer's explicit prior consent and acknowledgment that the right of withdrawal is thereby lost, the right of withdrawal may not apply once the service is activated. This will be clearly disclosed and confirmed at checkout before payment.
Dispute Resolution
Disputes arising from this contract may be brought before the Consumer Arbitration Committees or Consumer Courts in the Buyer's or Seller's place of residence, within the monetary limits announced annually by the Ministry of Trade.
